Preamble:

The name of this organization is Radio Active Hams. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism, individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community.  The club (RAH) intends to achieve these goals via internet and local D-star/FM repeater(s) as well as local community and internet activities.

 

Article I.  Membership

Sec. 1. Membership shall be open to any person who actively supports Radio Active Hams’ purpose as set forth in this document. We reserve the right to decline membership to anyone the board deems to not represent the goals and mission of this organization for any reason. A 3/5 vote by officials must be achieved for denial of membership.

Sec. 2. Membership may be revoked at any time at the full discretion of the current residing officials. This will be accomplished with a 3/5 majority vote. Within 30 days of ejection, the member in question must be presented an explanation in writing of all reasons for the impending ejection. Member in question has the right to plead his case within the same 30 day period. The 30 day period will end in a second vote by club officials and another 3/5 vote is required. All property held by RAH but expressly owned by ejected member shall be returned within a reasonable amount of time. All dues or other moneys held by the club shall remain property of the Radio Active Hams club (RAH).

 

Article II.  Officers

Sec. 1. The officers of this club shall be President, Vice-President, Treasurer, Secretary and Trustee.

Sec. 2. The positions of original President, Vice President, Secretary and Trustee if permanently vacated, shall be filled through a nomination and vote of the membership. And thereafter in the same manner with elections held at one (1) year increments.

Sec. 3. The Treasurer and Secretary shall then be appointed by a 2/3 majority of all other officers.

Sec. 4. A member shall be designated as the Amateur Radio License Trustee. The Trustee shall establish and maintain an Amateur Radio Club Station for the use of the licensed members of RAH and other licensed radio amateurs, and shall carry out the duties designated by the Federal Communication Commission (FCC) for the trustee of this station. In the event that the trustee can no longer perform the duties of Trustee, a vote shall be held within one (1) month by the other officers to elect a new Trustee.

Sec. 5. An original officer or founding member may ONLY be removed from office by a unanimous vote of all other four (4) officers. Furthermore, for a founding member to be removed from the club entirely, a 2/3 majority of all current members as well as a unanimous vote by all officers must be made.

 

Article III.  Duties of Officers

Sec. 1. The President shall preside at all meetings, and conduct them according to the rules adopted. He/she shall enforce due observance of this Constitution and By-Laws; decide all questions of order; sign all official documents adopted by the club, and perform all other duties pertaining to the office of President. 

Sec. 2. The Vice-President shall assume all the duties of the President in his/her absence.

Sec. 3. The Treasurer shall account for all monies paid to the club. 

Sec. 4. The Trustee shall maintain all repeater operations and FCC licensing.

Sec. 5. The Secretary shall take meeting minutes,  publicize events to the local community as well as to send emails to club members and preserve a web presence. 

 

Article IV.  Meetings

All meetings of RAH shall be informal and may be called at the discretion of at least two officers. Such meetings may take place in person, over amateur radio or through other electronic communication means.  “Robert’s Rules” shall govern proceedings.

 

Article V.  Dues

RAH shall not collect dues unless deemed absolutely necessary by the officers for ongoing expenses required for the operation of the organization.

 

Article VI.  Equipment and Property. 

Sec. 1. Unless purchased with funds from the organization’s treasury, all equipment used by the organization remains the property of the respective member. No rights shall affix to the equipment by virtue of its use by the organization or its members nor shall the ownership rights of the member be diminished. All equipment purchased by the organization itself, from its treasury or donated to the organization, remain property of the organization and likewise, no right of ownership attaches to any member. All records for property donated to or bought by club funds shall be kept on file in some manner, available to all members to review at any time. This shall be the duty of the Treasurer.

Sec. 2. In the unlikely event that this organization (RAH) shall be disbanded, ALL property belonging to the organization shall be sold publicly. All funds derived from the sale of all property sold will be pooled with all treasury funds and split evenly between all members that have one (1) year or more membership at date club is declared disbanded.

 

Article VII.  Amendments

The constitution or By-Laws may be amended by a two-thirds vote of the total membership. Proposals for amendments shall be submitted in writing at a regular meeting and shall be voted on at the next following regular meeting, provided all members have been notified at least one month in advance by mail or email of the intent to amend the constitution and/or By-Laws at said meeting. With exemption being the collection of dues.
